I. General Terms and Conditions

§ 1 Basic Provisions
These terms and conditions apply to contracts concluded with us as provider, SEBERT NORD, via the website www.sebert-nord.de. Unless otherwise agreed, the inclusion of any terms and conditions used by you is objected to. Our offer is directed exclusively at business customers, companies and public-sector customers.

§ 2 Conclusion of the Contract
The subject of the contract is the sale of goods and, where agreed, related services. Product presentations and technical descriptions on our website are intended to provide information. A binding contract is concluded when we accept your order or issue an individual written order confirmation. Before submitting an inquiry or order, you are responsible for checking that the selected products and specifications meet your requirements.

§ 3 Individually Designed Goods and Technical Specifications
If goods are manufactured or modified according to customer specifications, you must provide all information, drawings, approvals and technical requirements necessary for execution correctly and in good time. You are responsible for ensuring that documents, samples or specifications supplied by you do not infringe third-party rights. Changes requested after order confirmation may affect price and delivery time.

§ 4 Prices, Payment and Shipping
Prices are net prices unless expressly stated otherwise. Statutory VAT, shipping, packaging, customs duties and other ancillary costs may be added. Payment terms, delivery terms and shipping methods are agreed individually or shown in the order confirmation. If no specific delivery date is agreed, delivery takes place within a reasonable period after clarification of all technical and commercial details.

§ 5 Retention of Title
Goods remain our property until full payment of all claims arising from the business relationship. Prior to transfer of ownership, resale, processing or combination with other goods is permitted only in the ordinary course of business and subject to our rights.

§ 6 Warranty
Statutory warranty rights apply unless otherwise agreed. For business customers, warranty claims require that defects are inspected and notified without delay after receipt of the goods. Normal wear and tear, improper use, incorrect installation, insufficient maintenance or modifications not approved by us do not constitute defects.

§ 7 Liability
We are liable without limitation for damages resulting from injury to life, body or health, for intent and gross negligence, and where mandatory statutory liability applies. In cases of slightly negligent breach of essential contractual obligations, liability is limited to foreseeable, contract-typical damage. Further liability is excluded to the extent permitted by law.

§ 8 Governing Law and Place of Jurisdiction
German law applies. If the customer is a merchant, legal entity under public law or special fund under public law, the place of jurisdiction is our registered office, provided this is legally permissible.
